These Subscription Terms ("Subscription Terms") govern your access to and use of our marketing service (the "Service") described on loadupmarketing.com and app.loadupmarketing.com (collectively, the "Website"). LoadUp Marketing LLC ("Company," "we," or "us") reserves the right to change these Subscription Terms at any time without notice, and your continued use of the Website or Service constitutes your consent to such changes.
You must read these Subscription Terms carefully before pressing or clicking the "I accept" button; provided, however, that clicking the "I accept" button confirms that you agree to and are bound by these Subscription Terms. By clicking the "I accept" button and/or accessing or using the Services on behalf of an entity, then you represent and warrant that you have the authority to bind such entity to these Subscription Terms, and the term "you," "your," and "yours" shall refer to you and such entity.

Through the Service, we provide an online marketing platform that allows users with an active subscription to the Service to utilize our library of articles, email campaigns, social media posts, and landing pages with content, as described on the signup page for the Service. There are various subscription tiers within the Service, with higher tiers providing more access. If you subscribe to a lower tier of the Service, you will not have access to all of the features within the Service.
Pursuant to these Subscription Terms, you may order from the Company a license to access and use our Service by placing an order through a Subscription Form on the Website ("Subscription Form"). The Subscription Form will indicate which tier of the Service you are subscribing to. Upon your completion of the Subscription Form, it shall be incorporated into these Subscription Terms by this reference.
We will not be responsible for work or providing features that are beyond the scope and/or tier of Service in effect at the time you subscribe to the Service. Any changes to the scope and/or tier of the Service will not be effective unless approved by both parties or otherwise approved through the Website and/or Service.
The Subscription Form will notify you of all fees and costs that must be paid in order to access the selected tier of the Service. By completing the Subscription Form, you agree that we are authorized to charge the credit card you provide for the amounts indicated. You further authorize the Company to set up your account for recurring billing (monthly or yearly, as you select), where your credit card will be billed on the selected basis for access to the Service.
We use a third-party credit card processor to process payments and protect the privacy and security of your credit information. You acknowledge and agree to such third-party processor's use of your credit card information and further authorize Company to share information with such third-party processor as necessary for these purposes.
We reserve the right to change, modify, or remove, either temporarily or permanently, any part of the Service at any time by either notifying you via email and/or a post on the Website. We also reserve the right to change the pricing of our Service, including any tier thereof. If a change in pricing will affect an active subscription to the Service, we will provide at least thirty (30) days' notice via your email address on record.
The Service may include various types of content, such as trademarks, service marks, images, text, articles, graphics, blog posts, videos, and other types of content. Some content will be provided by us, which is either owned by the Company or licensed from a third party. All right, title, and interest in and to the content we provide is retained by the Company (or its licensors).
Subject to the terms and conditions of these Subscription Terms, we hereby grant you a limited, personal, non-exclusive, non-transferable, and non-assignable right and license to use the content we provide solely in connection with your use of the Service while you have an active subscription.
We aim to equip you with various tools, methods, and resources to support the growth and development of your business. However, you acknowledge that your business performance and client satisfaction are entirely and exclusively under your purview. Furthermore, you bear full and exclusive responsibility for comprehending and ensuring adherence to all regulatory, legal, or contractual obligations pertinent to you and your business operations.
We will use commercially reasonable efforts to make the Service available for use, except for (i) planned downtime or scheduled maintenance or (ii) circumstances or situations that are beyond our reasonable control.
The Service or Website might contain links or provide access to third-party websites or services, such as, but not limited to, social media and email integration ("Third Party Services") solely for your convenience. When utilizing or requesting features of the Service, you consent to the Company accessing such Third Party Services on your behalf and utilizing any relevant login credentials you provide.
These Subscription Terms shall become effective once you complete the Subscription Form and will continue for the period (monthly or yearly) specified in the Subscription Form, unless earlier terminated in accordance with these Subscription Terms. These Subscription Terms will renew automatically on each anniversary (monthly or yearly, as applicable) of the effective date for the same period (monthly or yearly) originally selected, unless you send us an email of your intent not to renew at least thirty (30) days before the expiration of your current subscription.
These Subscription Terms, along with the Terms of Use and Privacy Policy, are the sole and entire agreement between Company and you regarding the subject matter contained herein, and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
Neither party may assign, transfer, or delegate any or all of its rights or obligations under these Subscription Terms without the prior written consent of the other party. No assignment will relieve the assigning party of any of its obligations hereunder.
If any term or provision of these Subscription Terms is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of these Subscription Terms or invalidate or render the unenforceable such term or provision in any other jurisdiction.
